**PREAMBLE**

This license agreement governs the use of the ARIA-PROXIMA architecture, including but not limited to its software implementation, source code, technical documentation, architectural blueprints, conceptual models, and any associated materials (collectively, "the Materials") contained in this repository. The Materials are the exclusive, proprietary, and confidential property of the Licensor.

By accessing, viewing, or using any part of the Materials, you (hereinafter "the Licensee") agree to be bound by the terms and conditions of this agreement. If you do not agree to these terms, you are prohibited from accessing or using the Materials.

**1. GRANT OF LICENSE**

The Licensor grants the Licensee a temporary, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and view the Materials for the sole and express purpose of **internal, non-commercial, academic evaluation and informational review**. This license does not grant any rights to use the Materials for any other purpose, including but not limited to commercial, production, or operational use.

**2. RESTRICTIONS AND PROHIBITIONS**

The Licensee is expressly prohibited from, and agrees not to:

d. Use the Materials to train, fine-tune, or develop any artificial intelligence model, neural network, or machine learning system that competes with or is similar to ARIA-PROXIMA.

f. Use the Materials for any illegal, unethical, or malicious purpose, or in any manner that violates applicable laws or regulations.

**3. INTELLECTUAL PROPERTY**

IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE MATERIALS OR THE USE OR OTHER DEALINGS IN THE MATERIALS.

**5. TERMINATION**

This license agreement shall terminate automatically and immediately, without notice, if the Licensee breaches any of its terms or conditions. Upon termination, the Licensee must immediately cease all use of the Materials and destroy any and all copies in their possession or control.

**6. GOVERNING LAW**

This agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Licensor is based, without regard to its conflict of law principles.
