+**Parties:**

+**Recitals:**

+NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:
+
+**1. Definitions:**
+
+*   **"Collaborative Predictive Platform" (CPP):** The shared platform operated by [Manufacturer Name, Wholesaler Name, or Third Party] that utilizes machine learning models to generate demand forecasts for [Product Category] products.
+*   **"Forecast":** The demand forecast generated by the CPP for [Product Category] products relevant to Small Retailer, as further specified in **Exhibit A**.

+*   **"Forecast Adherence Agreement (FAA)":** The agreement outlined in **Exhibit C**, detailing Small Retailer's obligations related to using and considering the Forecast when ordering from Wholesaler.
+*   **"Tolerance Bands":** The permissible deviation range from the Forecast for order quantities, as defined in **Exhibit C**. Tolerance Bands for Small Retailer may be wider to accommodate operational flexibility.
+*   **"Rolling Forecast":** The Forecast that is updated on a [Frequency - e.g., weekly] basis.
+*   **"Force Majeure Event":** As defined in **Section 9**.
+
+**2. Purpose and Scope:**
+
+This Agreement outlines the framework for a collaborative relationship between Small Retailer and Wholesaler to utilize the CPP for demand forecasting and to schedule transactions based on the Forecasts for [Product Category] products intended for sale by Small Retailer at its store location at [Store Location]. The scope is focused on optimizing Small Retailer's orders from Wholesaler.

+**3. Data Sharing Obligations (Refer to Exhibit B - Data Sharing Agreement):**

+Small Retailer agrees to provide Wholesaler, directly or through the CPP, with relevant data as specified in **Exhibit B**, which may include:

+**4. Transaction Scheduling and Ordering Guidance (Refer to Exhibit C - Forecast Adherence Agreement):**
+
+*   Small Retailer agrees to use the Rolling Forecast generated by the CPP as a primary *guide* for its purchase orders of [Product Category] products from Wholesaler, aiming for efficient inventory management at its store.  Direct contractual *commitment* to strict adherence may be relaxed for Small Retailer.
+*   Small Retailer will *endeavor* to place purchase orders that are generally within the **Tolerance Bands** defined in **Exhibit C** for each SKU and forecast period, understanding that some flexibility is needed for a small business. Tolerance Bands for Small Retailer will be designed to be reasonably wide.
+*   The specific process for order placement, lead times, and delivery schedules shall be as typically established by Wholesaler and communicated to Small Retailer.
+*   **Order Adjustment Communication:**  Small Retailer agrees to communicate with Wholesaler if it anticipates needing to deviate significantly from the Forecasted order quantities, providing reasonable notice when possible, as described in **Exhibit C**. Formal "approval" for adjustments may be simplified or waived.
+
+**5. Wholesaler Responsibilities:**
+
+*   **CPP Access and Forecast Delivery:** Wholesaler shall ensure Small Retailer has access to the CPP (or receives Forecast information in a simplified format, e.g., reports) and receives Rolling Forecasts for relevant SKUs on a [Frequency - e.g., weekly] basis. Wholesaler will provide basic guidance on interpreting and using the Forecast information.
+*   **Order Fulfillment and Support for Small Retailer:** Wholesaler shall efficiently process and fulfill orders from Small Retailer, considering the typical order sizes and logistical needs of a small business. Wholesaler will provide readily available customer service and support to Small Retailer related to ordering and product information.
+*   **Data Aggregation and Upstream Sharing (Optional):** Wholesaler may aggregate and anonymize Small Retailer's data (along with data from other retailers) for sharing upstream with the Manufacturer to improve overall forecasting accuracy, while respecting Small Retailer's data privacy.
+
+**6. Small Retailer Responsibilities:**
+
+*   **Data Provision (Simplified):** Small Retailer shall provide data as agreed upon in **Exhibit B**, using simplified methods if possible (e.g., basic data entry forms, email reports).
+*   **Forecast Consideration in Ordering:** Small Retailer agrees to *consider* the Forecast when making ordering decisions from Wholesaler, aiming to improve inventory management and product availability at its store, while retaining operational flexibility.
+*   **Order Placement:** Small Retailer shall place purchase orders with Wholesaler following standard ordering procedures and aiming for reasonable alignment with the Forecast, within the understanding of wider Tolerance Bands.
+*   **Communication and Feedback (Simplified):** Small Retailer agrees to provide basic feedback to Wholesaler if it has significant concerns about Forecast accuracy or experiences issues with ordering or product delivery, using readily available communication channels.
+
+**7. Incentive Structure and Potential Shared Benefits (Simplified - Focus on Direct Benefits for Small Retailer):**
+
+*   Wholesaler and Small Retailer agree to an incentive structure designed to offer direct benefits to Small Retailer for participating in the collaborative forecasting framework, as detailed in **Exhibit C**.  Incentives will be straightforward and easy to understand for a small business.
+*   Potential benefits for Small Retailer may include:
+    *   Potentially improved inventory turnover and reduced risk of overstocking or stockouts at Small Retailer's store.
+    *   Access to potentially better product availability from Wholesaler due to improved overall supply chain efficiency.
+    *   Possible eligibility for *direct discounts or rebates* from Wholesaler based on general participation in the collaborative forecasting program (as a simplified incentive mechanism, detailed in **Exhibit C**), rather than complex performance-based metrics.
+*   The specific incentive mechanisms, discount or rebate structures, and basic reporting (if any) are detailed in **Exhibit C**, keeping it simple and direct for Small Retailer.
+
+**8. Term and Termination:**
+
+*   This Agreement shall commence on the Effective Date and shall continue for a term of [Number] year ("Initial Term").  Term length may be shorter or more flexible for Small Retailer agreements.

+Neither party shall be liable for reasonable delays in performance or failures to perform hereunder due to causes beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, fire, earthquakes, floods, strikes, governmental regulations, pandemics, or other similar events ("Force Majeure Event").  The affected party shall promptly notify the other party of the Force Majeure Event and will make reasonable efforts to communicate and manage the impact.

+**10. Governing Law and Dispute Resolution:**
+
+*   This Agreement shall be governed by and construed in accordance with the laws of [State/Country].
+*   Any minor dispute arising out of or in connection with this Agreement shall be resolved through good-faith communication and negotiation between the parties.
