+**Collaborative Prediction and Transaction Scheduling Agreement between [Wholesaler Name] and [Retailer Name]**

+**Parties:**
+
+1.  **[Wholesaler Name]**, a corporation organized and existing under the laws of [State/Country], with its principal place of business at [Address] ("Wholesaler").

+**Recitals:**
+

+WHEREAS, both parties desire to improve supply chain efficiency, reduce inventory costs, and enhance demand forecasting accuracy through a collaborative predictive model and transaction scheduling framework.

+NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:
+
+**1. Definitions:**
+
+*   **"Collaborative Predictive Platform" (CPP):** The shared platform operated by [Manufacturer Name, or Wholesaler Name if Wholesaler operates it, or Third Party] that utilizes machine learning models to generate demand forecasts for [Product Category] products.
+*   **"Forecast":** The demand forecast generated by the CPP for [Product Category] products, as further specified in **Exhibit A**.
+*   **"SKU":** Stock Keeping Unit, a unique identifier for each product.
+*   **"Transaction Schedule":** The agreed-upon schedule for Retailer's purchase orders from Wholesaler, based on the Forecast, as detailed in **Section 4**.
+*   **"Data Sharing Agreement (DSA)":**  The agreement outlined in **Exhibit B**, detailing data sharing obligations between Retailer and Wholesaler.
+*   **"Forecast Adherence Agreement (FAA)":** The agreement outlined in **Exhibit C**, detailing Retailer's obligations related to using and adhering to the Forecast when ordering from Wholesaler.
+*   **"Tolerance Bands":** The permissible deviation range from the Forecast for order quantities, as defined in **Exhibit C**.
+*   **"Rolling Forecast":** The Forecast that is updated on a [Frequency - e.g., weekly] basis.
+*   **"Force Majeure Event":** As defined in **Section 9**.
+
+**2. Purpose and Scope:**
+
+This Agreement outlines the framework for a collaborative relationship between Wholesaler and Retailer to utilize the CPP for demand forecasting and to schedule transactions based on the Forecasts for [Product Category] products intended for sale by Retailer within [Retailer's Geographic Region/Store Locations].
+
+**3. Data Sharing Obligations (Refer to Exhibit B - Data Sharing Agreement):**
+
+Retailer agrees to provide Wholesaler, directly or through the CPP, with the data specified in **Exhibit B**, including but not limited to:
+
+*   [List specific data points Retailer will provide, e.g., Point-of-Sale (POS) data for Retailer's stores, inventory levels at Retailer's stores, promotional plans of Retailer, aggregated customer demographic data (if applicable and anonymized), etc.]
+*   Data shall be provided in the format and frequency as detailed in **Exhibit B**.
+*   Wholesaler shall maintain data security and confidentiality as outlined in **Exhibit B**.  Wholesaler may aggregate and anonymize Retailer's data for sharing upstream with Manufacturer and for improving the CPP's overall forecasting accuracy.
+
+**4. Transaction Scheduling and Ordering Commitment (Refer to Exhibit C - Forecast Adherence Agreement):**
+
+*   Retailer agrees to base its purchase orders for [Product Category] products from Wholesaler on the Rolling Forecast generated by the CPP.
+*   Retailer’s purchase orders shall be within the **Tolerance Bands** defined in **Exhibit C** for each SKU and forecast period.
+*   The specific process for order placement, lead times, and delivery schedules shall be as mutually agreed upon and documented separately.
+*   **Order Adjustment Mechanism:** Retailer may request order adjustments outside the Tolerance Bands under the conditions and using the process defined in **Exhibit C**.
+
+**5. Wholesaler Responsibilities:**
+
+*   **CPP Access and Forecast Delivery:** Wholesaler shall ensure Retailer has access to the CPP and receives Rolling Forecasts for relevant SKUs on a [Frequency - e.g., weekly] basis. Wholesaler may act as an intermediary for forecast delivery if the CPP is managed by the Manufacturer.
+*   **Inventory Management and Fulfillment:** Wholesaler shall utilize the Forecasts to optimize its own inventory levels and ensure timely fulfillment of Retailer's orders placed in accordance with this Agreement.
+*   **Data Aggregation and Upstream Sharing (Optional):** Wholesaler may aggregate and anonymize Retailer's data (and data from other retailers) for sharing upstream with the Manufacturer to improve overall forecasting accuracy and supply chain visibility, subject to Retailer's consent and data privacy agreements.
+*   **Communication and Support:** Wholesaler shall provide reasonable communication and support to Retailer regarding the CPP, Forecasts, and order fulfillment processes under this Agreement.
+
+**6. Retailer Responsibilities:**
+
+*   **Data Provision:** Retailer shall provide accurate, complete, and timely data as required by **Exhibit B**.
+*   **Forecast Utilization:** Retailer shall utilize the Forecasts generated by the CPP as the primary basis for transaction scheduling and inventory management when ordering from Wholesaler.
+*   **Order Placement:** Retailer shall place purchase orders with Wholesaler within the agreed-upon Transaction Schedule and Tolerance Bands.
+*   **Communication and Feedback:** Retailer shall provide timely feedback to Wholesaler regarding Forecast accuracy, order fulfillment, and any issues related to the CPP or Transaction Schedule.
+*   **Participation in Review Committee (Optional):** Retailer agrees to participate in a Forecast Review Committee (if established, potentially managed by the Manufacturer or Wholesaler) as defined in **Exhibit C**.
+
+**7. Incentive Structure and Potential Shared Benefits (Refer to Exhibit C - Forecast Adherence Agreement):**
+
+*   Wholesaler and Retailer agree to an incentive structure to encourage forecast adherence and data quality, as detailed in **Exhibit C**.
+*   Potential benefits for both parties may include:
+    *   Reduced inventory holding costs for both Wholesaler and Retailer.
+    *   Improved product availability and reduced stockouts at Retailer locations.
+    *   Increased sales due to better inventory management.
+    *   Potential for preferential pricing or discounts from Wholesaler to Retailer based on forecast adherence (as defined in **Exhibit C**).
+*   The specific incentive mechanisms, calculation formulas, and reporting mechanisms are detailed in **Exhibit C**.  This may include tiered discount structures, rebates, or other mutually agreed-upon incentives.
+
+**8. Term and Termination:**
+
+*   This Agreement shall commence on the Effective Date and shall continue for a term of [Number] years ("Initial Term").
+*   This Agreement shall automatically renew for successive [Number] year terms unless either party provides written notice of termination at least [Number] days prior to the end of the then-current term.

The affected party shall promptly notify the other party of the Force Majeure Event and shall use commercially reasonable efforts to mitigate the effects of such event.

+**10. Governing Law and Dispute Resolution:**
+
+*   This Agreement shall be governed by and construed in accordance with the laws of [State/Country].
+*   Any dispute arising out of or in connection with this Agreement shall be resolved through [Dispute Resolution Process - e.g., negotiation, mediation, arbitration] in [Location].
